Trade terms and conditions

1. About us and these terms

This website is operated by Mix Labs UK Ltd ("Mix Labs", "we", "us", "our"), a company registered in England and Wales under company number 11435162, with its registered office at Goshen Farm, Brenchley Road, Matfield, Kent, TN12 7DT. Our VAT number is 301602367. You can contact us on 01892 481101 or at [email protected].

These terms apply to every order placed on this website and to your use of it. By applying for a trade account or placing an order, you agree to them. Our shipping policy, returns and refunds policy and privacy policy form part of these terms. If anything in a separate written agreement between you and us conflicts with these terms, that agreement applies.

2. Trade customers only

This website is for businesses buying for resale or for use in their business. We do not sell to consumers through this website. By placing an order you confirm that you are acting in the course of your business and that the person placing the order is 18 or over and authorised to do so on the business's behalf.

3. Trade accounts

  • You need an approved trade account to see trade prices and to order. We review every application and may approve or decline it at our discretion.
  • The information you give us must be accurate. Please tell us promptly if your business name, address, VAT status or contact details change.
  • Keep your sign-in details secure. You are responsible for orders placed using your account.
  • We may suspend or close an account if these terms are broken, if payment is overdue, or if we reasonably believe the account is being used to supply products unlawfully.

4. Age-restricted products and compliance

Many of our products contain nicotine and are age restricted. When you resell them, you are responsible for complying with all laws that apply to your business, including laws on age verification and the sale of nicotine and vaping products to under-18s, product notification, labelling and packaging, and any duty or stamp requirements that apply to vaping products. You must not sell our products to anyone under 18.

5. Products and pack sizes

Product images are for illustration, and packaging may change from time to time. Product information is supplied by manufacturers and we take care to keep it accurate. Some products can only be ordered in set multiples (for example packs of 5 or 10); the website shows this and applies it in your basket.

6. Prices

Trade prices are shown once you sign in to an approved account and may be specific to your account. Prices are in pounds sterling, and VAT is charged at the applicable rate. Delivery charges are shown at checkout. Prices and offers can change, but the price that applies to your order is the one shown when you place it. If we discover an obvious pricing error, we will contact you before dispatch and you may cancel the order.

7. Placing an order

When you place an order we email you an order confirmation and invoice. A contract is formed when we accept your order, which happens when we confirm payment or dispatch the goods, whichever is first. We may decline an order, for example if stock is unavailable, if there is a pricing error or if we are not satisfied that the sale would be lawful. If we cannot supply part of an order, we will tell you and refund or credit the difference.

Pre-order items are dispatched once stock arrives; the expected arrival date shown on the product page is an estimate.

8. Payment

  • Orders are paid by bank transfer. Our bank details are on your invoice. Please use your order number as the payment reference so we can match your payment.
  • Unless we have agreed credit terms with you in writing, orders are dispatched once payment has reached our account. Orders that remain unpaid for 14 days may be cancelled.
  • Where credit terms are agreed, payment is due by the date on the invoice. We may charge interest and compensation on late payments under the Late Payment of Commercial Debts (Interest) Act 1998, and may hold further orders until overdue amounts are paid.

9. Delivery, risk and ownership

We deliver to business addresses in the United Kingdom and the Channel Islands, as set out in our shipping policy. Delivery times are estimates. Responsibility for the goods passes to you on delivery. Ownership of the goods stays with us until we have received payment in full for them; until then, you must keep them identifiable as our property.

10. Returns, damaged goods and warranty

Returns, damaged or missing items, lost parcels and hardware warranty claims are handled under our returns and refunds policy. You must check deliveries promptly and report problems within the time limits it sets out.

11. Offers and promotions

Multi-buy deals, weekly deals and other promotions are available while stock lasts and may be changed or withdrawn at any time. Promotions cannot be applied to orders already placed unless we say otherwise.

12. Our liability

Nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, we are not liable for loss of profit, loss of business, loss of goodwill or any indirect or consequential loss, and our total liability for any order is limited to the price paid for the goods in that order.

13. Using this website

The content of this website, including text, images, logos and the Mix Labs brands, belongs to us or our suppliers. Trade customers may use product images and our media packs to promote the products they buy from us. Do not copy the website or its prices for any other purpose, and do not use automated tools to extract data from it. We aim to keep the website available but cannot guarantee it will always be uninterrupted.

14. Events outside our control

We are not responsible for delays or failures caused by events outside our reasonable control, such as courier disruption, supplier shortages, severe weather or changes in the law. If this happens we will tell you as soon as possible and you may cancel affected orders for a refund.

15. Changes, law and contact

We may update these terms from time to time; the version on this page when you place an order applies to that order. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
